Terms of Service

These Terms of Service ("Terms") govern your access to and use of blenau.com, the Blenau API, dashboard, MCP server, and related integrations (together, the "Service"), operated by Ganemo LLC ("Blenau," "we," "us"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility and accounts

You must be at least 16 years old and legally able to enter into a binding contract. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that entity to these Terms. You are responsible for maintaining the confidentiality of your credentials, MCP tokens, and any other keys issued to your workspace, and for all activity that occurs under them.

2. Acceptable use

You agree not to:

• Use the Service to store, process, or transmit illegal content, content that infringes third-party rights, or content that violates applicable export controls or sanctions.
• Upload content you do not have the right to share.
• Attempt to gain unauthorized access to any part of the Service, another workspace, or another user's data.
• Probe, scan, or penetration-test the Service without prior written authorization.
• Reverse engineer, decompile, or attempt to derive source code, other than to the limited extent permitted by mandatory applicable law.
• Use the Service to send spam, malware, phishing content, or to run a competing service.
• Abuse rate limits, exceed published quota, or otherwise impair the Service.
• Use the Service to process personal data of individuals without a lawful basis.

We may suspend or terminate your access immediately if we believe you are violating this section. For repeat or severe violations (for example, illegal content or a security breach) we may terminate without notice.

3. Content and ownership

You retain ownership of the content you upload to the Service (documents, sections, crystallized sessions, assets, and the outputs the Service generates from that content). You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, index, process, transmit, and display your content for the sole purpose of providing the Service to you and your authorized users, including synchronizing to any GitHub repositories you connect.

We own and retain all rights in the Service itself — the software, the dashboard, the API, the MCP server, the brand, and any improvements we make. These Terms do not grant you any rights in our intellectual property except the right to use the Service as permitted.

4. AI outputs

The Service uses large language models and embedding models to assist with search, summarization, crystallization, and other features. AI-generated outputs may be inaccurate, incomplete, outdated, or biased. You are responsible for reviewing AI outputs before relying on them, particularly for decisions with legal, medical, financial, or safety consequences. We make no representation that AI outputs are accurate or fit for any particular purpose.

5. Subscription, billing, and cancellation

• Plans and prices are published on blenau.com/pricing. We may change pricing with at least 30 days' notice before the change takes effect for your next renewal.
• Free trial. New workspaces receive a 14-day free trial. During the trial, write operations are allowed without payment. At the end of the trial, write operations require an active paid subscription.
• Billing cadence. Paid subscriptions are billed in advance, monthly or annually, depending on the option you select, and renew automatically for successive periods unless you cancel.
• Upgrades. Upgrading to a higher plan takes effect immediately. Stripe will charge a prorated amount for the remainder of the current period. Your renewal date does not change.
• Downgrades. Downgrading to a lower plan, or switching from annual to monthly, takes effect at the end of your current paid period. You keep your current plan until then. We do not refund or credit the unused portion of a paid period on downgrade or cancellation.
• Cancellation. You can cancel your subscription at any time through the Manage Subscription portal. Cancellation takes effect at the end of your current paid period. You retain access until then.
• Failed payments. If a payment fails, Stripe will retry automatically. If retries fail, your subscription will become past due and write access will be suspended. After a reasonable grace period (typically 14 days), the subscription may be canceled for non-payment.
• Refunds. Except where required by mandatory applicable law, fees are non-refundable. Partial periods are not prorated on cancellation or downgrade.
• Taxes. Listed prices are exclusive of any applicable sales tax, VAT, GST, or similar taxes, which you are responsible for paying.

6. Third-party services

The Service integrates with third-party services — including GitHub, Stripe, OpenAI, Amazon Web Services, and Cloudflare — that operate under their own terms and privacy policies. Your use of those services through Blenau is subject to those terms. We are not responsible for third-party services' availability or their handling of your data beyond our sub-processor obligations set out in our Privacy Policy.

7. Disclaimer of warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy of AI outputs, uninterrupted availability, and security.

8. Limitation of liability

To the fullest extent permitted by law, Ganemo LLC and its officers, employees, and affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or loss of goodwill, arising out of or in connection with the Service, even if advised of the possibility of such damages.

Our aggregate liability arising out of or in connection with these Terms or the Service will not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (USD 100). These limitations apply whether the claim is based on contract, tort, strict liability, or any other theory, and regardless of whether we have been advised of the possibility of such damages.

9. Indemnification

You agree to indemnify, defend, and hold harmless Ganemo LLC and its officers, employees, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or in connection with (a) your use of the Service, (b) your content or any material you upload, (c) your violation of these Terms or any applicable law, or (d) your infringement of any third-party right.

10. Termination

You may terminate these Terms at any time by canceling your subscription and closing your workspace. We may suspend or terminate your access at any time, with or without notice, if we reasonably believe you have violated these Terms, that continued use presents a security or legal risk, or if we discontinue the Service. On termination, your right to use the Service ceases. Provisions that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and governing law) will survive.

11. Changes to the Service or these Terms

We may modify the Service or these Terms at any time. Material changes will be communicated by email to workspace admins or by posting a notice on blenau.com, and by updating the "Effective" date above. If you do not agree to the changes, your remedy is to stop using the Service and cancel. Continued use after changes take effect constitutes acceptance.

12. Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which Ganemo LLC is organized, without regard to its conflict- of-law principles. Any dispute arising out of or in connection with these Terms that cannot be resolved informally will be resolved exclusively in the competent courts of that jurisdiction, and both parties consent to their personal jurisdiction. Nothing in this section prevents either party from seeking injunctive relief for misuse of intellectual property or confidential information in any court of competent jurisdiction.

13. Miscellaneous

• If any provision of these Terms is held unenforceable, the remaining provisions remain in effect.
• Our failure to enforce a provision is not a waiver of our right to enforce it later.
• You may not assign or transfer these Terms without our prior written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
• These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
